As you are no doubt aware, the OTC derivatives business is becoming increasingly subject to global regulatory reform initiatives that require reporting of trade data to increase market transparency and enable regulators to monitor systemic risk. Where you and we have adhered to the ISDA August 2012 Dodd-Frank Protocol or similar bilateral arrangements (“Protocol 1”), Protocol 1 provides our mutual consent to such disclosure and a waiver of any applicable non-disclosure, confidentiality, bank secrecy, data privacy or other protections. For the avoidance of doubt, our consent under Protocol 1 should be read as extending to any analogous or additional foreign reporting regulations that either of us are subject to, including the waiver of any applicable foreign non-disclosure, confidentiality, bank secrecy, data privacy or other legal protections. We will deem your consent under Protocol 1 to apply in a similar fashion and will perform our regulatory obligations on this basis.
SG expresses no opinion as to whether any party should enter into any swap or trading strategy, including any such swap or trading strategy that SG may recommend to any other party. For such advice, parties should consult their own advisors. With respect to any swap or proposed swap, SG will act in its capacity as a counterparty and does not undertake to (i) assess the suitability of any swap or trading strategy involving a swap or (ii) act in the best interests of any counterparty.
SG may record telephone conversations with your trading, marketing and other personnel. By transacting with SG, you are deemed to have consented, to the extent permitted by applicable law, to the submission of such recordings as evidence in any legal proceedings, or to the submission of such recordings to any regulator, court or other authority having jurisdiction over SG, upon request.
